Welcome to NorthAnchor.

These Platform Terms of Service ("Terms") govern your access to and use of the websites, software, products, applications, platforms, portals, and services provided by NorthAnchor Advisory Inc. ("NorthAnchor", "we", "our", or "us").

These Terms apply to all current and future NorthAnchor products and services, including, where applicable:

  • HarbourHub™

  • Driver Compass™

  • Guardian™

  • NorthAnchor websites

  • NorthAnchor client portals

  • demonstration environments

  • APIs

  • mobile applications

  • future NorthAnchor software and online services

By accessing or using any NorthAnchor service, you agree to these Terms.

If you do not agree with these Terms, please do not use our services.

1. Our Services

NorthAnchor develops software platforms and advisory solutions designed to help organizations organize, protect, manage, and better understand their operational information.

Depending on the service you use, our platforms may include functionality relating to:

  • governance

  • operational intelligence

  • compliance

  • document management

  • reporting

  • collaboration

  • communications

  • workflow management

  • analytics

  • member management

  • equipment management

  • AI-assisted information retrieval

  • secure portals

  • integrations

  • other related operational services

Features and functionality may differ between products and subscription plans.

2. Eligibility

You may only use NorthAnchor services if:

  • you are legally permitted to do so;

  • you are authorized to act on behalf of your organization where applicable;

  • the information you provide is accurate;

  • you maintain the security of your account credentials.

You are responsible for all activity that occurs under your account.

3. Customer Accounts

Certain services require an account.

You agree to:

  • maintain accurate account information;

  • keep passwords confidential;

  • notify us promptly if you suspect unauthorized access;

  • use only accounts assigned to you.

NorthAnchor may suspend accounts that pose a security risk or violate these Terms.

4. Customer Data

Your organization retains ownership of the information it submits to NorthAnchor.

This includes, but is not limited to:

  • documents

  • reports

  • records

  • images

  • uploaded files

  • operational information

  • communications

  • governance materials

  • compliance records

  • member information

  • user-generated content

NorthAnchor does not acquire ownership of customer data.

We process customer information solely for the purpose of providing and improving our services in accordance with our Privacy Policy.

5. Platform Purpose

NorthAnchor products are designed to organize, manage, and present information.

Unless expressly stated otherwise, NorthAnchor products are not intended to replace:

  • legal advice

  • accounting advice

  • insurance advice

  • engineering advice

  • medical advice

  • regulatory advice

  • professional judgment

Users remain responsible for reviewing information and making their own operational, governance, compliance, financial, safety, and business decisions.

6. Acceptable Use

You agree not to:

  • violate any applicable law;

  • interfere with the operation of our services;

  • attempt unauthorized access;

  • introduce malicious software;

  • circumvent security measures;

  • impersonate another individual or organization;

  • upload unlawful or harmful content;

  • misuse AI functionality;

  • reverse engineer our software except where permitted by law;

  • resell or redistribute NorthAnchor services without written authorization.

7. Intellectual Property

NorthAnchor owns all rights, title, and interest in:

  • software

  • source code

  • user interfaces

  • workflows

  • branding

  • logos

  • documentation

  • graphics

  • trademarks

  • service marks

  • platform designs

Except for customer content, nothing in these Terms transfers ownership of NorthAnchor intellectual property.

8. Artificial Intelligence

Some NorthAnchor services may include AI-assisted features.

AI-generated information is intended to assist users and should not be relied upon as the sole basis for decisions.

Users are responsible for reviewing AI-generated content before acting upon it.

NorthAnchor does not guarantee that AI-generated responses will always be complete, accurate, or suitable for a particular purpose.

9. Privacy

Your use of our services is also governed by our:

  • Privacy & Trust Centre

These documents explain how personal information is collected, used, stored, protected, and disclosed.

10. Information Security

NorthAnchor uses administrative, technical, and organizational safeguards designed to protect customer information.

While we strive to protect all information entrusted to us, no online service can guarantee absolute security.

Users are responsible for protecting their passwords, devices, and authorized access.

11. Third-Party Services

Our services rely on carefully selected third-party providers for infrastructure and functionality.

These providers may include services relating to:

  • cloud hosting

  • authentication

  • storage

  • content delivery

  • security

  • email delivery

  • payment processing

  • communications

  • mapping

  • scheduling

  • artificial intelligence

  • other supporting technologies

NorthAnchor may replace providers where reasonably necessary to improve security, reliability, or functionality.

12. Availability

We strive to provide reliable services but cannot guarantee uninterrupted availability.

Services may occasionally be unavailable because of:

  • upgrades;

  • security events;

  • internet disruptions;

  • failures of third-party providers;

  • events beyond our reasonable control.

13. Changes to Services

NorthAnchor may:

  • improve existing functionality;

  • retire obsolete functionality;

  • enhance security;

  • modify user interfaces;

  • update supported technologies.

Where practical, material changes will be communicated in advance.

14. Suspension or Termination

We may suspend or terminate access where reasonably necessary, including where:

  • these Terms are violated;

  • security is threatened;

  • fraud is suspected;

  • required by law;

  • continued access presents an unacceptable risk.

Users may discontinue using our services at any time.

15. Limitation of Liability

To the fullest extent permitted by applicable law, NorthAnchor shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of our services.

NorthAnchor's total liability arising from any claim relating to the services shall not exceed the amount paid by the customer for the applicable service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Indemnification

You agree to indemnify and hold harmless NorthAnchor, its officers, directors, employees, contractors, and affiliates from claims, losses, liabilities, damages, and expenses arising from:

  • your breach of these Terms;

  • your misuse of our services;

  • content you submit;

  • your violation of applicable law;

  • infringement of another person's rights.

17. Force Majeure

NorthAnchor is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, labour disputes, cyberattacks, internet outages, utility failures, government actions, or failures of third-party infrastructure providers.

18. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, unless otherwise required by applicable law.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, or business practices.

When material changes are made, we will update the "Last Updated" date and post the revised Terms on our website.

Continued use of our services after the effective date of the revised Terms constitutes acceptance of the updated Terms.
